Introduction
AgBlox, Inc. (“AgBlox,” “us,” “our,” or “we”) is a company registered in Delaware, having a registered address of 130 Full Moon, Irvine, CA 92618. AgBlox has created this privacy policy (“Privacy Policy”) regarding the privacy rights of our customers (“Customers”), as well as other users of the AgBlox proprietary machine learning services, models, platforms, and interfaces, and its Meetingmap and iClerk products (collectively, the “Product,” “Products,” “Service,” “Services,” or “Products and Services”) and the AgBlox, Meetingmap, and iClerk websites, including (https://agblox.com and https://meetingmap.com and https://iclerk.ai) and any additional and/or successor websites (collectively, the “Websites” and each individually, a “Website”).
This Privacy Policy is intended provide our Customers with confidence in the use of the Products and Services, and the Websites, and to demonstrate our commitment to fair information practices and the protection of privacy. This Privacy Policy is only applicable to the Products and Services and the Websites, and not to any other websites that you may be able to access from the Products and Services, the Websites, or any websites of the various partners or Customers of AgBlox, each of which may have data collection, processing, use, and storage practices and policies, which may differ materially from this Privacy Policy. Your use of the Websites and certain aspects of the Products and Services are governed by this Privacy Policy and our Terms of Service, and in some instances a subscription agreement and/or end-user license agreement by and between you and AgBlox. The use of information collected through our Products and Services and our Websites shall be limited to the purpose of providing the Products and Services for which our Customers have engaged AgBlox.
The Products and Services offered by AgBlox include both retail products and services, and business and enterprise-level products and services. AgBlox generally is the data controller pursuant to applicable privacy laws. However, where a business or enterprise customer is asking you to use our services (for example, your employer) and where a business or enterprise-level service agreement is in place between AgBlox and the enterprise customer, we obtain and process information that may qualify as personally identifiable information or personal information as defined herein on behalf of and at the instruction of that Customer. In those situations, the business and enterprise customers are the data controllers, and their privacy policies will apply to that information.
If you do not agree with this Privacy Policy, please do not use any of our Products and Services. If you change your mind in the future, please stop using our Products and Services; you are entitled to exercise the rights outlined in this Privacy Policy concerning your personally identifiable information or personal information.
Personally Identifiable Information and Personal Information
Personal Information is any information relating to or associated with an identified or identifiable person, such as for example financial information and information associating that person with a particular identity, such as social, cultural, or physical characteristics, regardless of whether it distinguishes them from another individual or not. AgBlox collects PII, for example directly through its Products and Services, and through third party services used to collect billing information such as credit card numbers. PII is voluntarily provided to us by Customers or users, such as for example sent to us in an email, and is also provided through the use of the Products and Services. We receive and store any PII users provide, either entered on our Websites, provided as Customers of our Products and Services, or in any other way. All PII is considered to be Personal Information, but not all Personal Information is PII.
Collection of Personally Identifiable Information
In order for you to access certain Products and Services, AgBlox may require you to provide us with certain PII. This includes information provided when you create an account to access our Products and Services. During account creation, you will be asked to provide your name, email, and a password, and you may voluntarily add a profile picture or avatar. For our paid Products and Services, our payment processing partner may also collect your name, billing address, and payment information. During use of the Products and Services, we may collect, and you may provide, video and audio recordings that include your voice and image, and any text, videos, files, or other audio or images, either of you or uploaded by you, in the context of providing the Products and Services. Additionally, we may collection information during communication with us. For example, when you contact us, you may provide us with your phone number, email, and any other information you choose to provide over such communication, including information about your query. You may also provide AgBlox with certain other optional information at your sole discretion. For the purpose of this Privacy Policy, all optional information that you provide us will be deemed Personal Information.
The use of Personal Information collected through our Products and Services and our Websites shall be solely limited to the purposes of providing the Products and Services to you, for example to process any applicable payment and communicate with you as needed in connection with the Services.
Use of the Products and Services does not require that AgBlox’s Customers provide to AgBlox any Personal Information relating to any individual. You should be aware, however, that AgBlox’s Customers may request such information from individuals in order to enable their use of and access to the Products and Services and such Personal Information may be included in information provided to AgBlox. AgBlox shall make reasonable efforts, consistent with the terms of this Privacy Policy, to maintain the confidentiality of such Personal Information, to the extent any such Personal Information is obtained by AgBlox.
AgBlox may also collect information you provide us about others. During the use of our Products and Services, you may choose to collaborate with others, or refer us to them. This may provide us with their email address and contact information. If you provide, or we collect, audio recordings about you, and any text, images, or video during the use of our Products and Services, this may contain the Personal Information of third parties. Please ensure that you have the necessary permissions before sharing Personal Information about others, or referring them to us.
Some information about you may be automatically collected or generated during, and pertaining to, your use of our Products and Services. This may include audio recordings that contain your voice, and images (such as screenshots or screen captures taken during a meeting or other virtual event) or videos, as well as timestamps of access and recording, sharing, editing, and deleting content, and other application usage information. Still further, it may include transaction records and any interactions you have with us.
Information that is automatically collected or generated during, and pertaining to, your use of our Products and Services may also include device information. Such device information includes whether you access our Products and Services from a desktop or mobile platform, a device model and brand, and type of web browser and operating system. It may also include IP addresses and device IDs, including any specific or unique identifier we assign to track each mobile device that accesses our Products and Services. We may also receive information about you from third parties and their respective platforms. When you connect third party apps or providers (for example virtual/online collaboration tools such as Zoom, Microsoft Teams, Google Meet, WebEx, calendaring apps such as Google Calendar, iCal, etc., and contacts such as Google Contacts) to our Products and Services, or when you register through a third party account (such as Zoom or Microsoft or Google), we receive Personal Information that includes some or all of your username, profile picture, avatar, email address, time, location, calendar information, contact information from such third parties and any information you choose to upload to such third parties and their respective platforms. We may also receive additional information about you from other third parties such as our marketing partners and other data analytics providers, for example demographic or interest characteristics and statistical information. Our Products and Services may also integrate further information about from third parties such as social media platforms based on information you have provided to us. This may be combined with other information we have about you.
Collection of Web Traffic Data
When you visit our Websites, web servers collect information about your visit, which is stored as anonymous, aggregate data. This information is known as traffic data, and we use this traffic data to learn more about visitors’ use of the Websites and to improve the quality of the content and functionality of the Websites, as well as to target our offerings of Products and Services to the people most interested in them based on their use of the Websites.
Log Files
As is true of most web sites, we gather certain information automatically and store it in log files. This information may include internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, operating system, date/time stamp, and/or clickstream data. We may combine this automatically collected log information with other information we collect about you. We do this to improve marketing, analytics, and site functionality.
Cookies and Tracking
Technology such as cookies are used by AgBlox and our marketing partners, affiliates, analytics, and marketing service providers. Such technology is used in analyzing trends, administering the site, tracking users’ movements around the site and to gather demographic information about our user base as a whole. We may receive reports based on the use of these technologies by these companies on an individual as well as aggregated basis.
We use cookies to remember users’ form submitted information. Users can control the use of cookies at the individual browser level. If you reject cookies, you may still use our Websites, but your ability to use some features or areas of our Websites may be limited. Our Websites may now or in the future include social media features, such as a “share this” button or interactive mini-programs that run on our Websites. These features may collect your IP address, which page you are visiting on our Websites, and may set a cookie to enable the feature to function properly. These features are either hosted by a third party or hosted directly on our Websites. Your interactions with these features are governed by the privacy policies of the company providing them.
Deletion of Cookies
You can delete the cookies already on your device. You can typically delete cookies from the Privacy or History area, available from the Settings or Options menu in most browsers.
IP Addresses and browser settings
When visiting our Websites, the IP address and the browser settings of your computer are registered. The IP address is the numerical address of the computer used when visiting the Websites. Browser settings include the type of browser you use, browser language, time zone etc. The IP address and browser settings are registered to enable us to trace the used computer in case of misuse or unlawful actions in connection with the visit on or use of the Websites. Further, the IP address is used to derive your approximate location and verify you as genuine.
Information Use
We use your PII and Personal Information in the following ways. We may not use both your PII and Personal Information for each of these uses. We will only use such PII and Personal Information to the extent it is necessary in each use.
PII and Personal Information are used for account setup. This may include your registration information, device information and information received from third parties (such as your username, email address) in order to set up an account for you to use our Products and Services. This is done in accordance with our contractual and precontractual obligations to you, in order to provide you with an account to use our Products and Services.
PII and Personal Information are used for our Products and Services. We use application usage information, such as audio recordings of your voice, and text, images, and video, in order to provide you with the Products and Services. In addition, we use information from communications with us to provide support. If you contact us, we will use your contact information to communicate with you (for, for example, retrieval of a forgotten username or password), and, if applicable, your usage information to support your use of the Products and Services, accordance with our contractual obligations to you in order to provide you with the Products and Services.
PII and Personal Information are used for making our Products and Services better, and to monitor and maintain those Products and Services. This includes information we automatically collect or generate about you when you use the Products and Services, as well as information about the device you are accessing the Products and Services from, such as device manufacturer, model and operating system, and the amount of available memory or storage on your device.
In order to provide the Products and Services to our Customers, AgBlox collects certain information and data provided by them, and processes that data in proprietary, machine learning-based analyses to generate aggregated information to its Customers and to other third parties as processed data. AgBlox takes commercially reasonable efforts to ensure that this processed data is does not include any personally identifiable information, as defined herein.
We may train one or more of our proprietary machine learning models on aggregated PII or Personal Information to improve our Products and Services. In such a case, you will have been de-identified from the PII or Personal Information. AgBlox will only access identifiable PII or Personal Information with your permission. This may occur for example where you curate and/or annotate a post-meeting transcript and provide permission to access your curation and/or annotation for training and/or improvement purposes to further refine training data for our proprietary machine learning models.
PII and Personal Information are used for communicating news or updates that may be of interest to you regarding us and/or our Products and Services. This will include sending you emails or other messages with news or updates pertaining to our Products and Services. When doing so, we process your email address and name, and may process your application usage information. An unsubscribe mechanism at the bottom of each communication is provided to enable you to withdraw your consent at any time.
PII and Personal Information may be used for fraud detection and prevention and legal issues, such as to defend against legal claims or disputes, enforce our terms and to comply with our legal obligations or compliance with federal and state laws. We monitor the use of the Products and Services to detect fraud or any other user behavior which prejudices the integrity of our Products and Services and the data of our Customers, and proactively take steps to remedy aforementioned fraud and behavior. We also defend ourselves against legal claims or disputes, and enforce our terms and policies, and it is in our legitimate business interest to protect ourselves against such fraud or legal claims and disputes. When PII and Personal Information is used in these instances, we will process only that which is relevant in each case. This includes information you provide us, information we automatically collect about you, and information which is provided to us by third parties.
Information Sharing
AgBlox does not rent, sell or share PII or Personal Information, with any third parties except in the following limited circumstances:
Confidentiality and Security
Except as otherwise provided in this Privacy Policy, we will keep your PII and Personal Information confidential and private and will not share it with third parties, unless we believe in good faith that disclosure of your PII or Personal Information or any other information we collect about you is necessary to: (1) comply with a court order or other legal process; (2) protect the rights, property or safety of AgBlox or another party; (3) enforce our Terms of Service (or applicable subscription agreement or end-user license agreement); or (4) respond to claims that any posting or other content violates the rights of third parties.
Information Security and Data Integrity
The security of your Personal Information is important to us. We follow generally accepted industry standards to protect the PII and Personal Information submitted to us, both during transmission and once we receive it. These include internal reviews of our data collection, storage and processing practices and security measures, as well as physical security measures to guard against unauthorized access to systems where we store personal data. Although we make good faith efforts to store PII and Personal Information in a secure operating environment that is not open to the public, you should understand that there is no such thing as complete security, and we do not guarantee that there will be no unintended disclosures of your PII or Personal Information. If we become aware that your PII or Personal Information has been disclosed in a manner not in accordance with this Privacy Policy, we will use reasonable efforts to notify you of the nature and extent of the disclosure (to the extent we know that information) as soon as reasonably possible and as permitted by law. When you enter sensitive information (such as credit card number and log in credentials) on our Websites, we encrypt the transmission of that information using secure socket layer technology (SSL).
Lost or Stolen Information
You must promptly notify us if any of your PII or Personal Information is lost, stolen, or used without permission. In such an event, we will remove that PII or Personal Information from your account and update our records accordingly.
Controlling Your Information
As a registered user of the Websites, and our Products and Services, you can modify or delete some of the information you have included in your profile by logging in and accessing your account. Upon your request, AgBlox will use commercially reasonable efforts to delete your account and the PII and Personal Information in your profile; however, it may be impossible to remove your account without some residual information being retained by AgBlox. We will respond to your request to access within 30 days.
We will retain your information for as long as your account is active or as needed to provide you with Products and Services. If you wish to cancel your account or request that we no longer use your information to provide you with Products and Services, contact us at info@iclerk.ai. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
You have the right to be forgotten. Upon request to AgBlox via the contact information stated on this page, AgBlox shall inform you of the purpose of the processing; who receives the information and from where the information originates.
Your Rights
You have certain rights in relation to your PII and Personal Information that we collect and retain. Note that there are some limitations to these rights, at least as described herein in the sections titled Information Sharing and Confidentiality and Security, and that not all of these rights inure to every Customer.
You have the right to access the PII and Personal Information we collect, use and retain about you, and to receive an explanation of how we use it and who we share it with.
You have the right to correct any PII and Personal Information we collect, use and retain about you that is inaccurate or incomplete.
You have the right to request that your PII and Personal Information be erased or deleted.
You have the right to object to our processing of your PII and Personal Information where we are relying on a legitimate interest for, or if we are processing your PII and Personal Information for, direct marketing purposes.
You have a right, in certain circumstances, to request that we stop processing your PII and Personal Information other than for storage purposes.
You have the right to receive, in a structured, commonly-used and machine-readable format, PII and Personal Information that you have provided to us if we process it on the basis of our contractual agreement with you, or with your consent, or to request that we transfer such PII and Personal Information to a third party.
You have the right to withdraw any consent you previously applied to us. We will apply your preferences going forward, and this will not affect the lawfulness of processing before your consent was given.
Please note that, prior to any response to the exercise of such rights, we will require you to verify your identity. In addition, we may require additional information (for example, why you believe the information we hold about you is inaccurate or incomplete) and may have valid legal reasons to refuse your request. Compliance with U.S. and Foreign Data Privacy Statutes
AgBlox endeavors to fully comply with all relevant data privacy and protection legislation and regulation in the jurisdictions in which it operates and in which its Customers reside and/or do business. Privacy Rights Under the European Union’s GDPR
Customers who are within the European Union are entitled to certain principles and rules set forth under the General Data Protection Regulation (“GDPR”) regarding personal data (defined as “any information relating to an identified or identifiable natural person (‘Data Subject’). An identifiable person is one who can be identified, directly or indirectly, in particular by reference to an identification number or to one or more factors specific to his physical, physiological, mental, economic, cultural or social identity.” The GDPR provides for important rights, which include your right to:
AgBlox collects information about you that may include both personally identifiable information, and personal information. Personally identifiable information (“PII”) refers to information that can be used to distinguish or trace an individual’s identity, either alone or when combined with other personal or identifying information that is linked or linkable to a specific individual. For example, PII may include a person’s name, home address, email address, or phone number, as well as information that may be considered biometric information, such as a voice or image, and other sensitive information.

AgBlox may process data of European Union Customers or user personal data at least for the following business purposes:
The GDPR also gives you right to lodge a complaint with a supervisory authority, in particular in the European Union (or European Economic Area) state where you work, normally live or where any alleged infringement of data protection laws occurred.

Privacy Rights Applicable to Other U.S. States
This Privacy Policy has been drafted to comply with privacy laws enacted in states other than California. Customers and other users may review and request changes to their covered information in accordance with the law of the state where you work, normally live or where we collect any data from you. You have the right to request that we disclose certain information to you about our collection and use of your personal information over the past 12 months. You may have certain additional or different rights depending on the state in which you live and work.
Biometric data is included at least within the definitions of PII above, as well as within the definition of SPI in the state of California and other jurisdictions with similar privacy laws. The Illinois Biometric Information Privacy Act of 2008, for example, defines biometric data as data related to the measurement and statistical analysis of an individual’s physical and behavioral characteristics. Examples of physiological characteristics include: DNA, fingerprints, face, hand, retina or ear features, and odor. Examples of behavioral characteristics include gestures, voice, typing rhythm, and gait.
AgBlox may collect certain categories of biometric data to provide you with our Products and Services. Where this occurs, AgBlox will inform you, in writing, of biometric data that is collected or stored. We will also inform you, in writing, of the specific purpose and length of time for which biometric data will be collected, stored and used. You will be asked to provide your written consent.
AgBlox collects certain categories of biometric data to provide you with our Products and Services. The biometric data is shared, collected, processed, disclosed, and retained at least in the same manner as that for PII, Personal Information, and SPI discussed elsewhere in this Privacy Policy. Adherence with Partner Limited Use Requirements
AgBlox’s use and transfer to any other application of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements therein.

Our Websites includes links to other websites whose privacy practices may differ from those of AgBlox. If you submit PII or Personal Information to any of those sites, your information is governed by their privacy statements. We encourage you to carefully read the privacy statement of any website you visit.
Service Provider, Sub-Processors/Onward Transfer
AgBlox may transfer PII and Personal Information to companies that help us provide our Products and Services. Transfers to subsequent third parties are covered by the provisions in this Privacy Policy regarding notice and agreements with our Customers.
Data Retention and Storage
AgBlox stores all PII and Personal Information only for as long as necessary to provide you with our Products and Services, fulfill the purposes set out in this Policy, or for as long as we are required to do so by law or in order to comply with a regulatory or other legal compliance obligation. When deleting PII and Personal Information, we will take measures to ensure such PII and Personal Information is not recoverable or reproducible. Any electronic files which contain PII and Personal Information will be permanently deleted.
